1. Conditions of Purchase
The Seller and Publisher of the website www.padiss-horvat.hr is the company PADISS-HORVAT d.o.o. for services and trade, with its registered office in Prelog, A. Mihanovića 45a, entered in the court register of the Commercial Court in Varaždin under registration number (MBS): 070016945, personal identification number (OIB): 63287394418 (hereinafter: "the Seller").
www.padiss-horvat.hr is the website through which the Seller provides the service of purchasing products available in the Seller's offer in the online store on the active website.
The Buyer is a legal or natural person who in any way, whether directly or indirectly, uses, or has used, accesses or has accessed the website www.padiss-horvat.hr and who has placed an order for products available in the offer of the Seller's online store, either by selecting payment and completing the order as a registered user of the online store or by selecting payment and completing the order as a guest user of the online store.
A Buyer who is a natural person may only be a person of legal age with full legal capacity. A contract of sale in the name and on behalf of a minor or a person deprived of legal capacity may be concluded, or consent for its conclusion given, by their legal representative or guardian, in accordance with applicable regulations.
The website refers to all web pages and their parts located within the domain www.padiss-horvat.hr.
These Conditions of Purchase govern the use of the online store of the company Padiss-Horvat d.o.o. and are binding for every person / user who accesses it.
By using the online store of the company Padiss-Horvat d.o.o., users are deemed to be aware of these Conditions at all times, to fully understand them and to accept them.
Padiss-Horvat d.o.o. reserves the right to interrupt the purchase process at any time or to cancel it if it considers that there has been a violation of its business operations, regardless of the buyer's liability and/or the accuracy of the content published on its own website.
Padiss-Horvat d.o.o. disclaims any liability for damage that may thereby arise, but undertakes to reimburse the buyer for any claim up to the amount of any payment made, if there are justified circumstances for doing so.
Any person of legal age with full legal capacity may become a buyer in our online store.
Pursuant to the Consumer Protection Act, minors or persons with no legal capacity may not make distance purchases; instead, their legal representatives may do so on their behalf, while for persons with partial legal capacity the consent of their legal representatives is sufficient.
Padiss-Horvat d.o.o. enables the purchase of the entire assortment of goods displayed in its own online store.
All published products contain an informative description and a photograph of an illustrative nature.
Despite significant efforts invested in ensuring the reliability of the content and the regularity of its updating, we cannot guarantee 100% accuracy of the said data.
2. Product Availability
The display and verification of the availability of an individual product in our warehouse is carried out in real time as a result of the synchronization of the online store with the company's internal inventory program.
If it becomes impossible for Padiss-Horvat d.o.o. to deliver the selected product because the product is currently out of stock or we can no longer order it from the supplier, we are obliged to notify the buyer in writing, and the buyer may then decide:
whether they wish to cancel the order, in which case neither charging nor delivery will be carried out;
to accept a new delivery deadline, if we can order the product from the supplier, in which case we must inform the buyer of the expected delivery deadline;
if we cannot order an identical product from the supplier under identical conditions, we may then offer the buyer a replacement product with similar characteristics, at the price applicable at that time for that product.
Product price
All prices are expressed in euros
All prices include the net price and the retail price (Croatian VAT at a rate of 25%).
All buyers from the Republic of Croatia pay the stated price with VAT included.
VAT for buyers from the European Union (EU)
Padiss-Horvat d.o.o. delivers ordered products to natural and legal persons within the following European Union (EU) member states:
Austria / Belgium / Bosnia and Herzegovina / Bulgaria / Montenegro / Czech Republic / France / Ireland / Italy / Luxembourg / Hungary / Netherlands / Germany / Poland / Portugal / Romania / Slovakia / Slovenia / Serbia / Spain / Sweden / Switzerland / United Kingdom.
Deliveries within the European Union are not subject to customs supervision, nor are customs duties charged on them; however, the statutory provisions on cross-border VAT calculation apply to them.
Accordingly, and in line with the legal regulations, for all buyers who are natural persons with an address within the EU the stated prices with 25% Croatian VAT apply, while for all buyers who are legal persons with an address within the EU and a valid VAT identification number, the supply of goods or services is exempt from Croatian VAT.
When registering and/or making a purchase, the said legal persons are required to enter:
the exact name
the complete address
the associated VAT identification number
In the case of registration, the stated data remain saved in the user account, so that in any future logins/purchases they do not need to be entered again, but are loaded automatically.
The stated data may be changed at any time via the user account.
With every purchase, immediately before the final confirmation of the order and payment, the system will automatically check the validity of the entered VAT identification number via the VIES database. The check is performed in real time and as a rule takes a few seconds.
Through the VIES database, access is provided to the national VAT databases of each European Union member state.
Precisely because this is an external service independent of the website www.padiss-horvat.hr, it is not within the domain of our company's administration and maintenance. Consequently, Padiss-Horvat d.o.o. cannot guarantee the availability of the said service at all times, nor the correctness of its operation, nor can it be held liable for any damage caused by difficulties in placing an order / completing a purchase due to the unavailability of the said service or the incorrectness of its operation.
If the verification of the validity of the VAT identification number is successful, the system will notify the user of this by displaying a confirmation message, and will automatically update the prices in the cart and display them reduced by the amount of VAT.
If the validity check shows that the VAT identification number is invalid, it is necessary to check whether it has been entered correctly. If the entry is correct, but the verification system still displays a message about the invalidity of the number, we ask the user to notify us of this via the email address padiss.horvat.shop@gmail.com.
In that case, Padiss-Horvat d.o.o. reserves the right to contact the competent tax administration and request a re-verification of the data, and upon receiving a response to notify the buyer accordingly.
Every buyer that is a legal person whose purchase, i.e. supply of goods and services, is, in accordance with the above, exempt from paying Croatian VAT, is obliged to act with regard to the calculation and reporting of VAT in their home country in accordance with the applicable legal regulations of that country, i.e. the regulations of the European Union.
For every buyer that is a legal person whose purchase, i.e. supply of goods and services, cannot be exempted from paying Croatian VAT due to an inappropriate or invalid VAT identification number, it is understood that the VAT will be calculated and charged in full.
Triangular transaction (Reverse charge)
Padiss-Horvat d.o.o. reserves the right to arrange a triangular transaction.
A triangular transaction is a transaction involving three taxable persons from three different European Union member states, for the same goods which are dispatched from the first supplier to the last buyer. The last buyer (the final acquirer of the goods) thereby has the obligation to calculate and report VAT in accordance with the applicable legal regulations of their home country, i.e. the regulations of the European Union.
VAT for buyers from countries outside the European Union (NON-EU)
All buyers from countries outside the European Union are exempt from paying Croatian VAT, but supplies of goods and services to those countries are subject to customs supervision and the payment of customs duties, which must be arranged separately for each individual purchase.
Payment
Ordered goods and/or services may be paid for in the following ways:
by credit/debit cards in a single payment: Mastercard, Visa, Maestro, Diners
by credit cards in installments without fees and interest: Mastercard, Visa, Maestro, Diners
in cash, in the sense of banknotes / coins, upon personal collection in our store,
by card payment in person in our store
via bank transfer by general payment slip / wire transfer or foreign remittance based on an issued quotation, proforma invoice or invoice.
For cash payment exclusively in euros, in the sense of banknotes / coins, upon personal collection in our store or upon delivery by our field sales agents, the buyer does not bear any additional costs relating to the choice of payment method.
Cash on delivery payment is available exclusively in euros for buyers with an address in the territory of the Republic of Croatia.
For cash on delivery payment, postal or courier services charge for this service. As a rule, this is a fixed fee for the cash-on-delivery service and/or a commission as a certain percentage of the amount paid by cash on delivery. The amount of the fee and commission is determined by the official price list of the postal and courier services, and is charged to the buyer's account.
For card payment in our store, in the field, by telephone authorization or via the WSpay™ system, whether single or installment, as well as for the PayPal payment option, Padiss-Horvat d.o.o. will not charge any additional costs related to the choice of these payment methods, but disclaims any liability with regard to the terms the buyer has agreed with the bank and/or other financial institution issuing the card, i.e. with the PayPal system.
All card payments will be made in euros.

For payment by general payment slip / wire transfer from a transaction account in the Republic of Croatia, Padiss-Horvat d.o.o. will not charge the buyer any additional costs relating to the choice of this payment method, and at the same time disclaims any liability with regard to the statutory fees that the post office, bank and/or other financial institution will charge the buyer for the transfer of money in this way.
For payment by remittance from a transaction account abroad, the buyer is obliged to choose the shared costs option (SHA or SLEV). They may thereby choose payment in euros to our transaction account:

Precondition for dispatch / delivery of goods
The precondition for the dispatch / delivery of goods and/or services, except in the case of cash payment by banknotes / coins in our store (including cash on delivery, but exclusively in the territory of the Republic of Croatia), is a pre-authorized card payment or the arrival of payment in one of the transaction accounts of the company PADISS-HORVAT d.o.o., each of which requires a certain period of time to be processed.
PADISS-HORVAT d.o.o. disclaims any liability for any damage that may arise for the buyer based on the established procedures and time periods necessary for the processing of money transfers by the institutions authorized to do so.
We do NOT dispatch / deliver goods and/or services based on a submitted proof of payment from a post office, bank or other financial institution, nor based on any payment security instrument.
Preparation and dispatch of the shipment
PADISS-HORVAT d.o.o. reserves the right to adequately prepare the shipment for dispatch according to its own judgment in accordance with its volume, mass and contents, with the aim of preserving its integrity.
If the shipment concerns specific shipments which, precisely because of their volume, mass, contents or for any other justified reason, require increased care with regard to preparation and/or special handling during loading/unloading, i.e. transport of the shipment, including the use of adequate packaging and protective material, PADISS-HORVAT d.o.o. reserves the right to charge for this service depending on the specific case, i.e. disclaims any liability for the costs that may arise for the buyer through such handling.
Orders for goods available in the warehouse of PADISS-HORVAT d.o.o. are ready for dispatch within 24-72 hours from the moment of the order. The exact dispatch deadline depends on the time at which the order is placed, on the chosen delivery method and payment modality, and on the dynamics of the daily collection of shipments by the courier.
Invoice
For every purchase, i.e. supply of goods and services to natural and legal persons, Padiss-Horvat d.o.o. will issue a valid invoice with all the prescribed elements in accordance with the provisions of Croatian and European legal regulations. The invoice will be available in paper form inside the shipment with the ordered products.
Intellectual property
All materials located on the website www.padiss-horvat.hr are the property of the Seller and as such are protected by law, or are used in accordance with the authorization of the holders of copyright and the holders of rights to trademarks and/or design, as well as in accordance with other necessary authorizations. The Seller is also the holder of copyright on the entire conceptual content of the website www.padiss-horvat.hr necessary for the correct and uninterrupted functioning of the online store.
Any distribution, copying, transmission, linking, publishing or modification in any way of these web pages and/or any materials, data, photographs, texts published on these web pages and/or any other parts of these web pages without the written authorization of the Seller is prohibited. Any violation of the said prohibition may result in the infringement of copyright, trademark rights, or some other right, and may therefore produce undesirable effects such as the initiation of several types of legal proceedings, and in particular may lead to criminal prosecution.
